James VandenBergh is a corporate attorney who advises entities on a wide range of transactional matters, with a focus on mergers and acquisitions. He represents buyers and sellers, guiding them through every stage of the transaction process, from the initial letter of intent through closing. His corporate practice includes entity formation and dissolution, corporate governance, ownership agreements, succession planning, commercial contracts, restrictive covenant agreements, liability waivers, and general counsel services.
Prior to entering private practice, he served as a judicial extern for the Honorable John R. Tunheim of the U.S. District Court for the District of Minnesota and the Honorable John S. Adams of the Superior Court of California, County of Orange. Through these experiences, he developed insight into how complex disputes, including patent infringement and antitrust matters, develop and are litigated, which informs his ability to identify risks early and proactively address them in transactions. He also draws on his prior experience in the financial services industry, including work with a large national bank and a privately held investment bank, to inform his understanding of the financing side of transactions.
James works closely with clients at all stages of the business lifecycle, providing guidance that aligns legal strategy with business objectives. Drawing on his background in both law and business, he brings a well-rounded perspective to each matter.
